Official Rules for Charitable Drawings

1. Sponsor; Administrator.

These official rules (“Official Rules”) governing participation in, administration of, and awarding of prizes in connection with each charitable drawing described herein (“Drawing”) conducted by the charitable organization (each, a “Sponsor”) identified on the webpage established by the Sponsor for the applicable Drawing and containing the Sponsor information, prize information, Entry Period, Entry requirements, Drawing details, jurisdictional restrictions, and other information and disclosures required by these Official Rules or applicable law (“Prize Page”) apply to each individual (an “Entrant”) who submits a chance to participate in the Drawing (“Entry”). Each Sponsor retains and exercises exclusive control over the applicable Drawing, including approval and adoption of these Official Rules for the applicable Drawing and any Sponsor-specific terms, supplemental requirements, disclosures, conditions, or other requirements stated on the applicable Prize Page (collectively, together with Official Rules, “Entry Terms”), eligibility determinations under the standards set forth in the Entry Terms, custody or controlled access to Entry records, the random selection and verification of winners in connection with each Drawing, and the award of all prizes. KOSHER RAFFLES LLC, a Delaware limited liability company (“Administrator”), provides and operates the online platform (“Website”) through which Sponsors may establish and offer Drawings, publish Prize Pages, receive Online Entries submitted through the Website, provide information concerning Alternative Entries, facilitate the processing of donations and contributions through applicable payment-processing services, maintain records relating to Entries, communicate with Entrants, advertise and promote Drawings and the Website, and perform related administrative and technology functions. The Administrator provides the Website and related administrative and technology services at the direction of the applicable Sponsor and does not sponsor or conduct any Drawing, determine eligibility or the validity of any Entry, verify any winner, or award any prize, and all determinations concerning the validity, eligibility, acceptance, rejection, or invalidation of an Entry remain exclusively with the Sponsor in accordance with the Entry Terms applicable to the Drawing.

2. Application and Binding Agreement.

By submitting or obtaining any Entry in a Drawing, each Entrant agrees to be bound by the Entry Terms applicable to the Drawing and represents that the Entrant satisfies the eligibility requirements set forth in the Entry Terms and that each Entry submitted or obtained by the Entrant complies with the applicable Entry Terms. Each Drawing is subject to all applicable federal, state, and local laws, rules, and regulations and is void where prohibited or where participation by a particular Entrant is prohibited by applicable law. The Administrator may amend, supplement, update, or otherwise modify these Official Rules by posting the revised Official Rules on the Website, and any such amendment, supplement, update, or modification will become effective upon posting unless a later effective date is stated. The Sponsor may amend, supplement, update, or otherwise modify the Prize Page or any Sponsor-specific terms applicable to the Drawing by posting the applicable amendment, supplement, update, or modification on the Prize Page, and each such amendment, supplement, update, or modification will be effective and binding upon posting, subject to applicable law. Except to the extent required by applicable law, no amendment, supplement, update, or modification of the Entry Terms may retroactively invalidate or reduce a valid Entry, materially alter the eligibility of an Entrant after submission of an Entry, diminish a prize, alter the relative weight of Entries, or impose a purchase or contribution or donation requirement. No communication, advertisement, writing, or other statement may modify, waive, or supersede the Entry Terms applicable to a Drawing except in strict compliance with this Section. The Official Rules will control over any inconsistent provision of the Prize Page or other Sponsor-specific Entry Terms unless the Administrator has given prior written consent to the amendment, modification, waiver, or superseding provision, in which case the approved provision will control only to the extent expressly authorized by the Administrator. Any conflict among Sponsor-specific Entry Terms that does not amend, modify, waive, or supersede the Official Rules will be resolved by enforcing the more restrictive provision with respect to the affected Drawing, Entry, or Entrant. No provision of the Prize Page or other Sponsor-specific Entry Terms may amend, modify, waive, or supersede any provision of the Official Rules without the prior written consent of Administrator.

3. Entry Period.

The period during which Entries may be submitted for the Drawing (“Entry Period”) will begin at 12:01 a.m. on the start date designated by the Sponsor on the Prize Page and will end at 11:59 p.m. on the end date designated by the Sponsor on the Prize Page, in each case according to the local time at the principal place of business of the Sponsor. Only Entries properly submitted and received during the Entry Period in strict accordance with the Entry Terms applicable to the Drawing are eligible for inclusion in the Drawing. The timekeeping system designated by the Sponsor will serve as the official timekeeping system for all Entries and activity relating to the Drawing. Notwithstanding the foregoing, Entries submitted by mail must be submitted and received during the separate mail-in submission period applicable to the Drawing (“Mail-In Submission Period”), which, if the Entry Period exceeds seven (7) calendar days, will begin on the sixth (6th) calendar day preceding the end of the Entry Period and end on the fourth (4th) calendar day preceding the end of the Entry Period, and, if the Entry Period is seven (7) calendar days or less, will begin at the commencement of the Entry Period and end seventy-two (72) hours before expiration of the Entry Period; provided, however, that if the Entry Period is seventy-two (72) hours or less as of its commencement, the Mail-In Submission Period will begin at the commencement of the Entry Period and end twenty-four (24) hours before expiration of the Entry Period. A mail-in Entry submitted during such Mail-In Submission Period must be postmarked during the Mail-In Submission Period and received by the Sponsor before expiration of the Mail-In Submission Period. The Sponsor may, in its sole and absolute discretion, extend the Entry Period by posting the revised expiration date on the Prize Page, and any extension of the Entry Period will be applied on a substantially equivalent basis to each Entry method.

4. Eligibility.

The Drawing is open only to natural persons who, at the time of submission of an Entry, are legal residents of a jurisdiction designated as eligible on the applicable Prize Page and are at least eighteen years of age or the age of majority in the jurisdiction of residence of the Entrant, whichever is greater. Employees, officers, directors, and members of the governing bodies of the Sponsor, and any other person or entity materially involved in the administration of the Drawing, together with the respective spouses, parents, children, siblings, and household members of each such person, are not eligible to participate in the Drawing. The Sponsor may require an Entrant to provide documentation reasonably necessary to verify the age, identity, residency, eligibility, or compliance of the Entrant with the Entry Terms applicable to the Drawing before including any Entry submitted by the Entrant in the applicable selection pool or awarding any prize. If an Entrant fails to timely provide requested documentation or the documentation does not establish eligibility or compliance with the Entry Terms, the Sponsor may determine the Entrant ineligible, reject or invalidate any affected Entry, or withhold any prize, subject to the verification and alternate-winner procedures applicable to the Drawing. Each Entrant must participate in the Drawing solely in an individual capacity and under the legal identity of the Entrant, and participation through a trust, business entity, association, fictitious identity, automated service, agent, representative, or other person is prohibited.

5. Entries.

An Entrant may participate in the Drawing through an Online Entry under Section 5.1 or an Alternative Entry under Section 5.2. Each valid Entry constitutes one chance to win the prize designated by the Entrant. All valid Entries designated for the same prize will be placed in the same selection pool and afforded identical weight and an equal chance of selection on an Entry-for-Entry basis, regardless of whether an Entry is an Online Entry or an Alternative Entry. No Entry method will receive preferential placement, weighting, selection treatment, or access to any prize.

5.1 Online Entry.

During the Entry Period, an Entrant may visit the Website, provide the information requested on the Prize Page or elsewhere on the Website, including during checkout, select the applicable prize or prizes, make a voluntary contribution or donation to the Sponsor, and submit an Entry through the online submission process available on the Website for the applicable Drawing (an “Online Entry”). The Sponsor may establish on the Prize Page, before commencement of the Entry Period, one or more suggested minimum contribution or donation amounts corresponding to specified quantities of Online Entries for a particular prize. An Entrant who makes the applicable suggested minimum contribution or donation will receive the corresponding number of Online Entries designated on the Prize Page, subject to the Maximum Entry Limit established by Sponsor. The Sponsor may establish different suggested minimum contribution or donation levels corresponding to different quantities of Online Entries, provided that no contribution or donation level permits an Entrant to obtain Online Entries in excess of the Maximum Entry Limit. The contribution or donation levels and corresponding quantities of Online Entries will be disclosed on the Prize Page before commencement of the Entry Period. Subject to applicable law, Sponsor may offer promotional or coupon codes reducing the suggested minimum contribution or donation amount for specified Online Entries, provided that each promotion’s eligibility requirements, expiration date, and usage limits are disclosed on the Prize Page and applied uniformly to all Entrants. No promotion or coupon code will affect the weight or odds of any individual Entry, alter the Maximum Entry Limit, or restrict the availability of an equivalent number of Entries through the Alternative Entry method. For avoidance of doubt, no contribution or donation is required to participate in the Drawing and an Entrant may obtain Entries without making a contribution or donation through the Alternative Entry method described in Section 5.2.

5.2 Alternative Entry.

During the applicable Mail-In Submission Period, an Entrant may obtain Entries without making a contribution or donation to the Sponsor by satisfying each of the following requirements: (a) personally hand-printing, in legible block letters and in blue or black ink, on a plain three-inch by five-inch card: (i) the full legal name of the Entrant exactly as shown on a government-issued identification document; (ii) the complete residential street address of the Entrant, including apartment or unit number, city, state or province (if applicable), and postal code, and country; (iii) a valid email address regularly monitored by the Entrant; (iv) a valid telephone number at which the Entrant may be contacted; (v) the date of birth of the Entrant; (vi) the exact name of the applicable Drawing as stated on the Prize Page; (vii) the exact name or identifying description of the single prize for which the Entry is submitted; and (viii) the following statement: “I certify that I am eligible to participate in this Drawing, that the information provided with this submission is true and complete, and that I have personally prepared and submitted this submission in accordance with the Entry Terms”; (b) personally signing and dating the card beneath the certification in the presence of a notary public, or equivalent official authorized under local law, and having such signature acknowledged by that official; (c) completing the card separately for only one Drawing and one designated prize; (d) refraining from including on or with the card any sticker, label, preprinted information, photocopied information, mechanically reproduced information, QR code, barcode, additional insert, or information prepared by another person (except for notarial signatures, seals, and certificates required under the Official Rules); (e) placing the completed card in a separate, properly addressed nine-inch by twelve-inch outer envelope bearing sufficient postage or delivery charges; (f) clearly hand-printing “Alternative Method of Entry,” the exact name of the applicable Drawing, and the exact name or identifying description of the designated prize on the exterior of the envelope; (g) enclosing only one completed card in an outer envelope used solely for the applicable Drawing and designated prize; (h) mailing or delivering the outer envelope through the United States Postal Service or a private carrier to the mailing address designated by the Sponsor on the Prize Page for mail-in Entries; and (i) satisfying all postmark, mailing, delivery, and receipt requirements applicable to the Mail-In Submission Period (each submission satisfying all of the foregoing requirements, an “Alternative Entry”). Each Alternative Entry constitutes one Entry in the applicable Drawing for the single prize identified in the Alternative Entry. An Entrant may submit more than one Alternative Entry during the applicable Mail-In Submission Period, provided that the total number of Entries obtained by the Entrant for the applicable prize in the Drawing does not exceed the Maximum Entry Limit established by the Sponsor and each Alternative Entry satisfies all of the requirements of this Section 5.2. No contribution or donation to the Sponsor is required to obtain an Alternative Entry in connection with any Drawing.

5.3 Maximum Entry Limit.

The Sponsor may establish on the Prize Page the maximum number of Entries that any Entrant may obtain with respect to a particular prize (the “Maximum Entry Limit”). The Maximum Entry Limit applies in the aggregate to all Online Entries and Alternative Entries obtained by the same Entrant for the applicable prize, and an Entrant may obtain Entries through either or both Entry methods up to, but not in excess of, the Maximum Entry Limit. For each quantity of Online Entries available for a prize, an Entrant must be able to obtain the same quantity of Entries without making a contribution through Alternative Entries, subject to the Maximum Entry Limit and the requirements applicable to Alternative Entries. The Sponsor will aggregate all Online Entries and Alternative Entries associated with the same Entrant in determining compliance with the Maximum Entry Limit, and any Entry obtained, submitted, or received in excess of the Maximum Entry Limit will be void and excluded from the applicable selection pool. The Sponsor will administer and enforce the Maximum Entry Limit uniformly with respect to Online Entries and Alternative Entries. The odds of winning a particular prize depend solely on the total number of valid Entries included in the applicable selection pool at the conclusion of the Entry Period.

6. Contributions and Refunds.

Any contribution or donation made in connection with an Online Entry is made to support the charitable activities of the Sponsor and does not constitute a purchase requirement or condition of participation in the Drawing. All contributions and donations to Sponsor are final and non-refundable. A reversal, dispute, or chargeback of a contribution or donation does not, by itself, invalidate an otherwise valid Entry. The Sponsor may reject or invalidate an Entry associated with fraud, unauthorized activity, identity misuse, an improper chargeback or payment dispute, or other conduct constituting a basis for rejection of an Entry.

7. Entry Administration and Prohibited Conduct.

The Sponsor administers and interprets the Entry Terms applicable to the Drawing and, in its sole and absolute discretion, determines whether an Entrant or Entry complies with the Entry Terms and the validity, acceptance, rejection, or invalidation of any Entry based on the facts and circumstances reasonably available to the Sponsor in connection with administration of the Drawing. An Entrant may not use multiple names, addresses, accounts, devices, agents, bots, automated services, third-party submission services, or any other method or mechanism to circumvent the Maximum Entry Limit, obtain Entries through another person, manipulate the Entry process, interfere with the Website or the Drawing, or otherwise obtain any advantage prohibited by the Entry Terms applicable to the Drawing. In exercising discretion, the Sponsor may reject, invalidate, or disregard any Entry that: (a) fails to comply with the Entry Terms applicable to the Drawing; (b) contains information that is false, inaccurate, misleading, incomplete, inconsistent, illegible, or otherwise not reasonably capable of verification; (c) is copied, automated, mechanically reproduced, bulk-submitted, submitted by another person, associated with identity manipulation, or submitted through a method prohibited by the Entry Terms; or (d) is associated with fraud, unauthorized activity, attempted circumvention of the Maximum Entry Limit, or other conduct affecting the validity of the Entry. The Sponsor is not responsible for any Entry that is lost, late, delayed, damaged, incomplete, misdirected, postage-due, corrupted, or not received, including as a result of any postal, communications, network, hardware, software, payment-processing, delivery, or other technical or transmission failure. The Sponsor may investigate any suspected irregularity, fraud, tampering, manipulation, or other conduct affecting the integrity or administration of the Drawing and may take any corrective action the Sponsor determines, in its sole and absolute discretion, is necessary or appropriate to protect the integrity or administration of the Drawing, including rejecting or invalidating affected Entries or disqualifying an Entrant, subject to the Entry Terms applicable to the Drawing. All Entries and materials submitted in connection with the Drawing become records of the Sponsor and will not be returned or acknowledged except as contemplated herein.

8. Administration of Drawing.

The Sponsor conducts each Drawing in accordance with the Entry Terms applicable to the Drawing and determines the date, time, location, method, and procedures for the Drawing, as set forth on the Prize Page. At the conclusion of the Entry Period for the Drawing, the Sponsor will establish the selection pool for each prize offered in the Drawing from all valid Entries submitted for the applicable prize and conduct a random selection from each selection pool to select one potential winner for each prize offered in the Drawing on the date and at the time set forth on the Prize Page (which must be within twenty-four (24) hours after expiration of the Entry Period). The Sponsor may engage an independent accountant, attorney, drawing service, or other qualified third party to supervise, witness, or verify the random selection conducted by the Sponsor. The Sponsor may establish and use procedures, systems, software, or other mechanisms necessary or appropriate to establish the selection pools for the Drawing, conduct and document the random selection, verify the results of the Drawing, and maintain records concerning administration of the Drawing. The Sponsor will maintain records reasonably sufficient to document the selection process and results of the Drawing for the period required by applicable law. The conduct of the Drawing and selection of a potential winner for any prize offered in the Drawing will not be conditioned on receipt of a minimum number of Entries or a minimum amount of contributions or donations, except to the extent expressly permitted by applicable law for the applicable Drawing and expressly stated on the Prize Page.

9. Integrity and General Conditions.

If the Sponsor is unable to conduct the Drawing as stated on the Prize Page, the Sponsor may, in its sole and absolute discretion, change the date, time, location, method, or procedures as necessary or appropriate to complete the Drawing in accordance with the applicable Entry Terms, provided that the Sponsor conducts the Drawing within twenty-four (24) hours after expiration of the Entry Period. Any such modification will preserve all valid Entries and will not reduce the Maximum Entry Limit, extend the Entry Period, or otherwise diminish any prize identified on the Prize Page. The Sponsor will provide any notice required in connection with the modification.

10. Potential-Winner Notification and Verification.

The Sponsor will notify each Entrant selected as a potential winner of a prize in the Drawing (a “Potential Winner”) using the contact information provided by the Entrant in connection with the selected Entry. Each Potential Winner must respond to the Sponsor within five business days after the first notification attempt, unless a longer period is stated on the Prize Page (the “Response Period”). The Response Period begins upon the first notification attempt and expires at 11:59 p.m. on the final day of the Response Period according to the local time at the principal place of business of the Sponsor. A Potential Winner becomes a winner of a prize in the Drawing (a “Winner”) only after the Sponsor verifies that the Potential Winner satisfies the Entry Terms applicable to the Drawing. The Sponsor may require a Potential Winner to provide government-issued identification, taxpayer-identification information, proof of age or residency, an affidavit or declaration of eligibility, a liability or publicity release, or other documentation reasonably necessary to verify the identity, eligibility, tax-reporting information, lawful receipt of the applicable prize, or compliance of the Potential Winner with the Entry Terms. A Potential Winner must provide all requested information and documentation within the Response Period unless the Sponsor expressly provides an additional period for completion of the verification process. If a notification is returned as undeliverable, a Potential Winner fails to respond within the Response Period, fails to timely provide requested information or documentation, provides materially false or inaccurate information, fails to satisfy the Entry Terms applicable to the Drawing, cannot lawfully accept the applicable prize, or refuses to accept the prize in accordance with the Entry Terms, the Sponsor may disqualify the Potential Winner and randomly select an alternate Potential Winner from the remaining valid Entries in the applicable selection pool. The Sponsor is not required to make more than two notification attempts or to use any contact information other than the contact information provided by the Entrant in connection with the selected Entry. Following verification of the Winners and award of the prizes for a Drawing, the Sponsor may publish or otherwise make available through the Website or otherwise a list identifying the Winners and prizes awarded in the Drawing (the “Winners List”). An Entrant may request the Winners List by submitting a written request to the Sponsor using the contact information designated on the Prize Page within ninety (90) days after completion of the Drawing.

11. Prizes.

The Prize Page will identify each prize offered in the Drawing, the approximate retail value of each prize, and any material restrictions, conditions, limitations, or requirements applicable to the prize. The Sponsor will award each prize identified on the Prize Page to the applicable Winner in accordance with the Entry Terms. A prize may not be transferred, assigned, substituted, or redeemed for cash except as expressly stated on the Prize Page or otherwise approved by the Sponsor. If a prize becomes unavailable, the Sponsor may substitute a prize of equal or greater approximate retail value. Each Winner is responsible for satisfying all use, registration, licensing, insurance, travel, documentation, acceptance, or other requirements applicable to the prize. No contribution, donation, purchase, payment, reimbursement, or future fundraising participation is required as a condition of receiving a prize. Each Winner is solely responsible for all taxes arising from receipt, ownership, or use of a prize and for all costs and expenses associated with the prize that are not expressly included in the prize description on the Prize Page. The Sponsor may require a Winner to provide taxpayer-identification information, may issue applicable tax-reporting forms, and may withhold or remit amounts from a prize as legally required. Each Entrant is responsible for obtaining independent tax advice concerning any contribution or donation made to Sponsor or receipt of any prize.

12. Specific Compliance.

Legal requirements governing eligibility, permitted Entry methods, Entry limits, disclosures, registrations, permits, bonds, filings, prize restrictions, Drawing procedures, and other aspects of a Drawing may vary by jurisdiction. The Sponsor may, in its sole and absolute discretion, exclude any jurisdiction from a Drawing and establish on the Prize Page any jurisdiction-specific term, disclosure, restriction, condition, procedure, or addendum applicable to Entrants residing in that jurisdiction. The Sponsor may modify or restrict the availability of any Online Entry, Alternative Entry, prize, or other aspect of a Drawing as necessary to address the legal requirements of a particular jurisdiction. If a jurisdiction requires a particular person or entity to perform a function in connection with the Drawing, the Sponsor may cause the required person or entity to perform that function. Nothing in the Entry Terms requires the Sponsor to offer or make a Drawing, Entry method, or prize available in every jurisdiction.

13. Publicity.

Acceptance of a prize authorizes the Sponsor and Administrator to use the name, city and state of residence, voice, photograph, likeness, and accurate prize information of the Winner in connection with announcing or promoting the Drawing, Website, Sponsor, Administrator, or charitable activities of the Sponsor, without further notice, approval, or compensation.

14. Entry Conditions and Releases.

To the fullest extent permitted by applicable law, each Entrant releases, discharges, and holds harmless the Sponsor, Administrator, prize suppliers, advertising and promotional service providers, and the respective affiliates, officers, directors, employees, representatives, and agents of each foregoing person or entity (collectively, the “Released Parties”) from all claims, liabilities, losses, damages, costs, and expenses arising out of or relating to participation in or administration of any Drawing, submission or processing of an Entry, or the acceptance, possession, use, misuse, loss, or disposition of a prize.

15. Liability Limitation.

To the fullest extent permitted by applicable law, no Released Party shall be liable to any Entrant for any indirect, incidental, special, exemplary, punitive, consequential, or similar damages arising out of or relating to participation in the Drawing, submission or processing of an Entry, selection or verification of a Winner, or acceptance, possession, use, misuse, loss, or disposition of a prize. If the Sponsor determines that a valid Entry was erroneously deleted, corrupted, omitted, or excluded from the applicable selection pool because of an administrative or technical error, the sole and exclusive remedy of the affected Entrant will be restoration of the Entry or issuance of an equivalent Entry before the applicable random selection, if reasonably practicable.

16. Indemnification.

To the fullest extent permitted by applicable law, each Entrant will indemnify, defend, and hold harmless the Released Parties from and against any third-party claim, liability, loss, damage, judgment, cost, or reasonable expense arising out of or relating to: (a) fraud, willful misconduct, or unlawful conduct by the Entrant in connection with the Drawing; (b) any material breach by the Entrant of the Entry Terms applicable to the Drawing; (c) any infringement or violation by the Entrant of the intellectual property, privacy, publicity, contractual, or other rights of another person; or (d) the unlawful possession, use, transfer, or disposition of a prize by the Entrant.

17. Governing Law and Venue.

The Entry Terms applicable to each Drawing and any dispute arising out of or relating to the Drawing, an Entry, a prize, or the Entry Terms will be governed by the laws of the country and, where applicable, the state, province, or other political subdivision in which the principal place of business of the Sponsor is located, without regard to conflict-of-law principles; provided, however, that each Drawing, Entry, solicitation, contribution, participation, prize award, and other activity conducted in connection with the Drawing remains subject to any mandatory legal requirement applicable to such activity in another jurisdiction. Any dispute not subject to arbitration under Section 18 must be brought exclusively in a court of competent jurisdiction located in the jurisdiction in which the principal place of business of the Sponsor is located, and each Entrant consents to the personal jurisdiction of those courts. Nothing in this Section limits any nonwaivable right, protection, remedy, or requirement arising under law.

18. Dispute Resolution; Individual Arbitration.

Before initiating any arbitration or judicial proceeding arising out of or relating to a Drawing, an Entry, the Entry Terms, the Website, or a prize, an Entrant must deliver written notice to the Sponsor using the contact information designated on the Prize Page for legal notices, identifying the Entrant and applicable Drawing and describing in reasonable detail the factual and legal basis of the dispute and the relief requested. No arbitration or judicial proceeding may be commenced until thirty (30) days after receipt of the notice by the Sponsor. Except for an individual claim properly brought in small-claims court, any dispute arising out of or relating to a Drawing, an Entry, the Entry Terms, the Website, or a prize between an Entrant and the Sponsor or Administrator will be resolved exclusively by binding arbitration on an individual basis administered by the American Arbitration Association under the Consumer Arbitration Rules in effect when the arbitration is commenced. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator will have authority to determine all issues concerning the interpretation, application, scope, formation, or enforceability of the arbitration requirements of this Section. EACH ENTRANT, SPONSOR, AND ADMINISTRATOR AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO A DRAWING, AN ENTRY, THE ENTRY TERMS, THE WEBSITE, OR A PRIZE MUST BE BROUGHT AND RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND MAY NOT BE BROUGHT, JOINED, CONSOLIDATED, OR RESOLVED AS A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR PROCEEDING. NO ARBITRATION MAY BE JOINED OR CONSOLIDATED WITH ANY OTHER ARBITRATION WITHOUT THE EXPRESS WRITTEN CONSENT OF THE SPONSOR AND ADMINISTRATOR. The fees and costs of arbitration will be allocated in accordance with the applicable rules of the American Arbitration Association. If a final judicial determination holds that a particular claim or remedy may not be resolved through arbitration or that the prohibition against class, collective, consolidated, mass, or representative proceedings is unenforceable with respect to a particular claim or remedy, only that claim or remedy will be severed from arbitration and may proceed in a court of competent jurisdiction, and all remaining disputes will remain subject to this Section. No award, decision, finding, ruling, determination, or other outcome in any arbitration involving an Entrant will have any res judicata, collateral-estoppel, claim-preclusive, issue-preclusive, precedential, or other binding effect in any dispute involving a different Entrant, and no Entrant may rely upon or assert any such award, decision, finding, ruling, determination, or outcome in any dispute involving that Entrant; provided, however, that the foregoing does not limit the binding or preclusive effect or enforcement of an arbitration award between the parties to that arbitration.

19. Personal Information.

The Sponsor and Administrator may collect, use, retain, disclose, and otherwise process personal information provided by or relating to an Entrant in accordance with the privacy policy identified on the Website or Prize Page for purposes of administering the Drawing, processing and validating Entries, verifying eligibility, communicating with Entrants and Potential Winners, awarding and delivering prizes, processing contributions and donations, preventing or investigating fraud or other prohibited conduct, maintaining records, and otherwise operating the Website and administering the Drawing. The Sponsor and Administrator may communicate with an Entrant concerning the Drawing, an Entry, verification of a Potential Winner, a prize, account activity, or other administrative matters using the contact information provided by the Entrant.

20. Notices and Contact.

The Sponsor may designate on the Prize Page one or more mailing addresses, email addresses, or other methods for communications relating to the Drawing. Any notice, request, or other communication submitted by an Entrant must be delivered using the method designated by the Sponsor for the applicable purpose and will be effective only upon actual receipt by the Sponsor. Any mailing address designated for Alternative Entries may be used solely for Alternative Entries unless the Sponsor expressly permits another use. The Sponsor may communicate with an Entrant using any contact information provided by the Entrant or by posting the applicable communication on the Prize Page or Website. For purposes of the Official Rules, a private-carrier shipment is deemed postmarked on the date the carrier accepts the shipment, as confirmed by a carrier-issued receipt or tracking record.

21. Intellectual Property; Restrictions on Use.

As between Entrant and Administrator, all right, title, and interest in the Website, Official Rules, Privacy Policy, and all other content, materials, software, technology, designs, features, functionality, and related intellectual property made available by Administrator (collectively, “Administrator Materials”) belong exclusively to Administrator or its licensors. Entrant may access and use Administrator Materials solely for personal, noncommercial participation in Drawings in accordance with the Entry Terms. Except with Administrator’s prior written consent, Entrant shall not, directly or indirectly, copy, reproduce, republish, distribute, modify, create derivative works from, scrape, extract, commercially exploit, or otherwise use any Administrator Materials for any unauthorized purpose, including developing, operating, or assisting any competing website, platform, service, or business. No access to the Website or Administrator Materials grants Entrant any ownership interest, license, or other right except as expressly provided herein.

22. Severability; No Waiver; Entire Agreement.

Each provision of the Entry Terms is severable from every other provision of the Entry Terms. If any provision of the Entry Terms is determined to be unlawful, invalid, or unenforceable under applicable law, the provision will first be interpreted, to the fullest extent possible, in a manner that renders the provision lawful, valid, and enforceable. If the provision cannot be rendered lawful, valid, and enforceable through interpretation alone, the provision will be modified solely to the minimum extent necessary to render the provision lawful, valid, and enforceable. If the provision cannot be rendered lawful, valid, and enforceable through such limited modification, the provision will be severed from the Entry Terms. Any interpretation, modification, or severance under this Section will apply only to the affected provision and will not modify, impair, invalidate, or otherwise affect any other provision of the Entry Terms, subject to the specific consequences governing arbitration and class, collective, consolidated, mass, or representative proceedings under Section 18. A failure or delay by the Sponsor or Administrator to exercise or enforce any right or remedy under the Entry Terms does not waive that right or remedy. Any waiver by Sponsor or Administrator must be express and in writing and will apply only to the specific matter identified in the written waiver. The Entry Terms constitute the entire agreement between the Entrant and the Sponsor concerning participation in and administration of the applicable Drawing and supersede all prior or contemporaneous representations, communications, advertisements, understandings, or agreements concerning the Drawing to the extent inconsistent with the Entry Terms. The Administrator is an express third-party beneficiary of each provision of the Entry Terms that expressly grants the Administrator a right, protection, release, limitation of liability, indemnification right, dispute-resolution right, or other benefit and may enforce each such provision directly. Except as expressly provided in the Entry Terms, the Administrator is not a party to the Entry Terms and assumes no obligation of the Sponsor under the Entry Terms. The Sponsor may correct any clerical, typographical, administrative, or similar error in the Entry Terms by providing notice of the correction through the Prize Page or Website. Wherever the context requires, words in the singular shall include the plural and words in the plural shall include the singular, and pronouns of any gender shall include all genders. The words “include,” “includes,” and “including” shall be deemed followed by “without limitation.” The words “herein,” “hereof,” “hereunder,” and similar expressions refer to these Official Rules as a whole and not to any particular provision, and references to Sections refer to Sections of these Official Rules unless otherwise expressly stated.
